Celonis SE announced May 12 it signed a definitive agreement to acquire decision intelligence startup Ikigai Labs Inc. The deal aims to solve a critical problem: enterprise AI systems lack understanding of how businesses actually operate.
Financial terms were not disclosed. Ikigai Labs had raised $38.2 million in total funding, including a $25 million Series A round in 2023.
The acquisition centers on Celonis’s launch of the Celonis Context Model, which provides AI agents with operational context. Dan Brown, Celonis chief product officer, said AI models struggle because they don’t understand how specific invoices relate to shipping records.
“Without that deterministic foundation – the ground truth of your operational reality – no AI agent can be trusted to make reliable real-time decisions,” Brown said.
Operational Intelligence Foundation
Founded in 2019, Ikigai Labs was led by CEO Devavrat Shah, who holds an AI professorship at MIT. The company specializes in large graphical models that help AI systems understand proprietary enterprise data.
“Ikigai has proven foundation model technology for structured data at scale,” said Shah, who becomes Celonis’s chief scientist for enterprise AI. “Together, we provide the fullest operational representation of business reality.”
The acquisition brings planning, simulation and forecasting capabilities to Celonis. Ikigai experts have reduced supply chain planning cycles from months to minutes.
Context Layer Strategy
Celonis argues the enterprise stack is consolidating around three layers: data, context and agentic execution. The company positions itself to own the middle context layer.
Cardinal Health CTO Jerome Revish, an early adopter, said precision matters in healthcare. “You can’t accept AI that’s only right most of the time,” Revish said. “Context is what makes the difference between AI that’s impressive in a demo and AI that’s trusted and safe to deploy.”
The Context Model integrates with Microsoft Copilot, Oracle OCI Enterprise AI, Amazon Bedrock, IBM watsonx Orchestrate and Anthropic’s Claude.
Competitive Positioning
Celonis competes with SAP’s Signavio, IBM Process Mining and UiPath in process intelligence. Foundation Capital’s Ashu Garg, an early Ikigai investor, said the deal gives Celonis a significant advantage.
“Celonis has built the deepest operational understanding of how enterprises actually function,” Garg said. “With the acquisition of Ikigai Labs, they’ve added the decision intelligence and simulation capabilities that make it truly effective.”
