Quick Facts

  • Bending Spoons will acquire Airtable in an all-cash deal at a $1.285 billion enterprise value, implying an equity value of roughly $2.25 billion when including Airtable’s net cash.
  • Airtable’s AI agent unit, Hyperagent, was spun out into a separate Delaware company before the deal was signed and will not transfer to Bending Spoons.
  • Airtable reported approximately $480 million in annual recurring revenue as of June 2026, growing more than 20% year over year.

Bending Spoons S.p.A. (NASDAQ: BSP) announced on August 4 that it has signed a definitive agreement to acquire Airtable for $1.285 billion in enterprise value. Combined with Airtable’s net cash and cash equivalents of roughly $965 million, the deal implies an equity value of approximately $2.25 billion. Both boards approved the transaction unanimously.

The deal is expected to close before year-end, pending regulatory review and customary closing conditions. It marks Bending Spoons’ first acquisition since the Milan-based company began trading on the Nasdaq Global Select Market on July 1, 2026, after pricing its IPO at $29 per share and raising $1.68 billion.

What Bending Spoons Is Buying

Founded in 2013, Airtable built a platform combining spreadsheet and database tools that lets organizations build applications and manage workflows without writing code. The company counts more than 500,000 customers, including 80% of the Fortune 100.

At $1.285 billion in enterprise value against roughly $480 million in ARR, Bending Spoons is paying approximately 2.7 times recurring revenue. That multiple is low by historical SaaS standards, reflecting Airtable’s long journey from an $11 billion peak valuation in 2021 to secondary market trades earlier this year at around $4 billion.

Airtable laid off 27% of its workforce, roughly 500 employees, in 2022 and 2023 as it shifted focus to enterprise clients and profitability. By November 2024, The Information reported the company had turned cash flow positive and was growing at 30%.

The Hyperagent Spinout

Before the purchase agreement was signed, Airtable transferred assets and liabilities tied to its AI agent product line into a newly formed Delaware corporation called Hyperagent Inc. The move separates Airtable’s AI work from the core SaaS platform that Bending Spoons is buying.

In January 2026, Airtable had unveiled Superagent, an orchestration product for spinning up teams of AI agents to handle business tasks. That work now sits inside Hyperagent Inc., which retains the company’s cash and will pursue independent recapitalization. Bending Spoons acquires the established no-code database and workflow business.

Bending Spoons’ Acquisition Streak

The Airtable deal extends an aggressive buying run for Bending Spoons. The company acquired AOL in January 2026 and Eventbrite in March 2026. Its portfolio also includes Vimeo, Evernote, Brightcove, StreamYard, WeTransfer, and others. As of March 2026, Bending Spoons served more than 500 million monthly active users and over 9 million monthly paying customers.

First-quarter 2026 revenue came in at $601.3 million, up 132% year over year from $259 million, driven largely by the integration of recent acquisitions. Shares opened at $29 on July 1 and closed that day at $40.50, a 40% gain on the company’s first trading day.

Bending Spoons CEO Luca Ferrari said the company looks forward to welcoming Airtable and cited the brand’s role in reshaping how teams organize data and manage workflows. Airtable co-founder and CEO Howie Liu said partnering with Bending Spoons gives Airtable the resources and long-term commitment needed to build what he called the AI-native platform of the future.

For software founders watching consolidation in the productivity and no-code space, the deal signals that established SaaS platforms with strong enterprise customer bases remain attractive acquisition targets, even at valuations far below their pandemic-era peaks.
